Article 1 — Effect of These Terms

These Partner Terms ("Partner Terms") govern participation in the LuggAgent partner program (the "Program") operated by LuggAgent International Limited ("the Company"). The Program is open to hotels, airlines, online travel agencies, DMCs and travel agencies, shops and other businesses (each a "Partner") that refer travellers to the Company's luggage storage and delivery service (the "Service"). By ticking the agreement box when registering, or by otherwise participating in the Program, the Partner is deemed to accept and be bound by these Partner Terms.

The Service itself is provided to travellers (each a "Customer") under the Company's Terms of Service. These Partner Terms do not change the Terms of Service as they apply to Customers.

Article 2 — Registration and Account

  1. The Partner shall provide accurate and complete information when registering and keep it up to date, including its business name, contact person, email address and payout details.
  2. The Company may review any registration and may approve, decline or request further information at its discretion.
  3. The Partner is responsible for all activity under its partner account, including activity by staff accounts it creates. Login credentials must not be shared, and the Partner shall promptly notify the Company of any unauthorised use.

Article 3 — Partner Links, QR Codes and Materials

  1. Upon approval, the Company provides the Partner with a dedicated partner page, link and QR code, and may provide printable materials (for example, a counter stand).
  2. A booking is attributed to the Partner when the Customer opens the Partner's link or QR code and completes the booking within seven (7) days on the same device and browser, or when Partner staff create the booking through the partner portal. Bookings that cannot be technically attributed in this way are not eligible for a revenue share.
  3. The Company grants the Partner a non-exclusive, non-transferable, revocable licence to use the LuggAgent name, logo and the materials provided, solely to promote the Service. The Partner shall not alter these materials or use them in a misleading way, and shall stop using them when its participation ends.

Article 4 — Prices and Customer Relationship

  1. Customers pay the prices published on the Company's official website. The Partner shall not charge Customers any additional fee for the Service, quote different prices, or promise service levels, compensation or conditions that differ from the Terms of Service.
  2. The contract for the Service is between the Company and the Customer. Questions about bookings, changes, cancellations, refunds and claims are handled by the Company under its Terms of Service and Refund Policy.
  3. Where the collection or delivery location is the Partner's property, the Partner's staff may hand over or receive luggage on the Customer's behalf as an authorised recipient (Terms of Service, Article 6). The Company's custody of the luggage begins when its driver collects it and ends upon delivery in accordance with the Terms of Service. Luggage kept by the Partner before collection or after delivery remains the responsibility of the Partner and the Customer.

Article 5 — Front-Desk Bookings

Where the Partner's staff book on behalf of a guest through the partner portal:

  1. The Partner shall obtain the guest's consent and enter accurate booking details, including the guest's own email address.
  2. The guest receives a payment link by email. The booking is confirmed only after the guest pays; unpaid bookings are cancelled automatically after forty-eight (48) hours.

Article 6 — Revenue Share

  1. Rate: The Partner earns a revenue share of 10% of the Commission Base, or the rate shown in the Partner's account if different. The rate in effect when a booking is created applies to that booking. A change of rate applies only to bookings created after the change.
  2. Commission Base: The amount the Customer actually paid for the booking, after discounts, coupons and points, excluding taxes and insurance (coverage) fees. Charges added after the booking, such as waiting fees or additional luggage, are not included. Payment processing fees are not deducted.
  3. When it is earned: The revenue share is earned when the booking is completed (luggage delivered). Bookings cancelled before delivery earn nothing. If a completed booking is later refunded in whole or in part, the revenue share is reversed in the same proportion, and the reversal is deducted from the Partner's balance.
  4. Test bookings, bookings made by the Partner for itself or its staff, and bookings that breach Article 8 are not eligible.
  5. All amounts are calculated in US dollars.

Article 7 — Monthly Settlement and Payment

  1. On the first day of each month (00:00 UTC), the Company settles the previous month and makes a statement available in the partner portal.
  2. When the Partner's balance reaches US$1,000 or more and valid payout details have been provided, the balance is scheduled for payment. A balance below US$1,000 is carried forward to the following month.
  3. Payment is made in US dollars to the payout method registered in the partner account (such as bank transfer, PayPal or Wise). If the payout details are changed, no payment will be made to the new account for seven (7) days after the change, for security reasons.
  4. Reversals under Article 6.3 that occur after payment are deducted from future balances, and the balance may become negative.
  5. Each party is responsible for its own taxes. The Partner is responsible for reporting and paying any tax due on amounts it receives under the Program.
  6. If the Partner believes a statement is incorrect, it should notify the Company within thirty (30) days of the statement date.

Article 8 — Prohibited Conduct

The Partner shall not:

(a) create false, duplicate or self-referred bookings, or encourage bookings that are cancelled or refunded in order to obtain a revenue share; (b) advertise in a false or misleading way, send unsolicited messages (spam), or present itself as the Company or as acting for the Company beyond these Partner Terms; (c) use the Company's name or trademarks in paid search advertising without the Company's prior written consent; (d) collect payment from Customers for the Service; or (e) breach any applicable law or regulation in connection with the Program.

Where the Company reasonably believes that the Partner has breached this Article, the Company may withhold or reverse the related revenue share and suspend or terminate the Partner's participation.

Article 9 — Personal Data

Customer personal data is handled under the Company's Privacy Policy. The Partner may use Customer information made available through the partner portal only to provide the booking and related customer support, shall keep it confidential, and shall comply with applicable data protection law. Partner staff can see only the information needed for bookings collected from or delivered to their own property.

Article 10 — Liability

  1. The Company's liability to Customers for luggage is governed solely by the Terms of Service.
  2. Neither party is liable to the other for indirect or consequential loss, including loss of profit or business.
  3. Except in cases of fraud or wilful misconduct, the Company's total liability to the Partner under these Partner Terms for any claim is limited to two (2) times the amount the Customer paid for the booking giving rise to the claim.

Article 11 — Term and Termination

  1. These Partner Terms apply from approval of the Partner's registration until terminated.
  2. Either party may terminate the Partner's participation at any time by notice by email or through the partner portal.
  3. The Company may suspend or terminate participation immediately if the Partner breaches these Partner Terms.
  4. After termination, the Partner's links and QR codes stop being attributed. Revenue share earned on bookings completed before termination will be paid in the next settlement, even if the balance is below US$1,000, unless the termination was due to a breach of Article 8.

Article 12 — Amendments

The Company may update these Partner Terms from time to time and will notify the Partner by email or through the partner portal. Continued participation after an update takes effect constitutes acceptance. Changes to the revenue share rate do not apply retroactively.

Article 13 — Governing Law

These Partner Terms are governed by the laws of the Hong Kong Special Administrative Region. The parties submit to the non-exclusive jurisdiction of the courts of Hong Kong.
